The LLM in Commercial Law Program was designed to provide students with a unique experience in the study of Commercial law that fits their professional goals.   • TOEFL IBT: 71 or above

- A bachelor's degree in law from a Saudi University,
or from any other accredited university in Saudi Arabia.

- A bachelor's degree in Islamic Jurisprudence
or judiciary studies from a Saudi University,
or from any other accredited university in Saudi Arabia

This course aims to provide students with a comprehensive understanding of Commercial Companies Law, which holds a prominent position within Saudi Commercial Law. The course will extensively cover the formation process of commercial companies, including detailed explanations of various types of recognized commercial entities and the corresponding laws that govern their operations. The primary focus will be on limited-liability companies (LLCs), joint stock companies, general partnerships, and limited partnerships, with in-depth exploration of each entity. The course will also shed light on the penalties associated with non-compliance and violations of the law. By the end of the course, students will have a solid understanding of the multifaceted elements within commercial companies' law and their practical implications.

This course will provide an overview of the legal framework governing foreign investment and international trade. It will cover topics such as licensing procedures, regulations, and guarantees for foreign investment in the Kingdom as well as role of the Ministry of Investments. Additionally, the course will examine dispute resolution mechanisms for foreign investors. Furthermore, the course will focus on the laws and policies of international trade agreements, analyzing their impact on national legislation. It will delve into dispute settlement mechanisms and the role of the World Trade Organization in regulating international trade, emphasizing core principles like non-discrimination, tariffs, and exceptions. Additionally, other relevant treaties' laws and policies will be discussed.

This course provides a detailed overview of intellectual property law. It focuses on the most important areas of intellectual property, namely copyright, patents, industrial design, trademarks and trade secrets. The course focuses on the intellectual property laws of the Kingdom of Saudi Arabia. It also emphasizes the impact of the World Trade Organization agreements on intellectual property law in general, and the impact of the Trade Related Intellectual Property Rights agreement and other international intellectual property treaties in particular.

This course looks at the largely theoretical aspects of private international law. Discussion on multinational treaties covering international litigation is an important part of this course. As the course takes on comparative approach, it focuses on different conceptual basis including judicial resolution of transnational disputes involving private parties.  The substantial attention is devoted to commercial dispute resolution. This course tends to explain the rules of applicable law important to all aspects of international commercial litigation. In this context, the course integrates international and comparative perspectives on most issues.

The course aims to provide students with a solid understanding of the fundamental principles of commercial contracts. It will explore the distinction between commercial and non-commercial contracts, as well as the legal frameworks that govern the commercial obligations within these contracts. Students will also delve into the formation of commercial contracts, examining the concepts of offer and acceptance and the regulations surrounding termination. The course will encompass the rules pertaining to brokers and commissions, including the legal jurisdiction in cases of litigation. Moreover, the subject of franchising will be extensively covered, considering its rapid growth in the Kingdom. Students will learn about the process of applying for a franchise, the required registration procedures, and the laws governing franchise renewal. Additionally, the rights and obligations of the franchisor will be thoroughly addressed throughout the duration of the course.

This course aims to provide students with an understanding of international business and develop a thorough knowledge of the legal fundamentals of international business and finance. It offers students an insight into international business regulations with a contextualization of the legal area and exposes students to hurdles facing international businesses regularly, an examination of resolution procedures and national and international laws. 

 

Course Code: MLLM 6317 Course Name: Maritime and Aviation Law

Transportation is a frequent method used to move persons and goods from one place to another, this requires laws and regulations to maintain rights and penalise wrongdoers. The course will examine provisions of international transport law with a focus on laws from the General Authority of Civil Aviation GACA and national maritime law. International treaties and agreements which regulate travelling or carriage of goods by sea and air would be covered, its development, jurisdiction in disputes and the issue of piracy. Due to the growing sector of maritime in the Kingdom this course will be taught with an emphasis on the Saudi Commercial Maritime law and its provisions which are limited to commercial vessels. The process of a vessel to acquire Saudi nationality, registration, maritime vessel contracts and their divisions which include accidents and insurance would be elaborated upon with relying on case laws and provisions of the law introduced.

Participants will delve into different concepts of Islamic finance. They will be equipped with the analytical tools to evaluate and interpret various aspects of Islamic finance, enabling them to make informed decisions in ethical financial systems and contribute to the field's development.

This course aims to equip students with a deeper understanding of the means of settling disputes outside of traditional litigation, namely, mediation, conciliation, arbitration, negotiation which constitute Alternative Dispute Settlement (ADS). The Saudi judicial system has actively promoted mediation and conciliation as effective and cost-efficient alternative dispute mechanisms. Also, arbitration, according to Saudi Arbitration Law which incorporates provisions based on the UNCITRAL model, serves as a widely utilized method for resolving disputes, either through contractual provisions or as a separate agreement. This course holds particular importance for preparing students to become legal professionals providing international investors and companies seeking to enter the Saudi market, with the necessary consultation in order to understand and anticipate potential legal disputes that may arise.

This course will introduce students to the basics and nuanced aspects of bankruptcy. This course explores bankruptcy and liquidation as vital tools in assisting creditors with insolvent debtors, while promoting foreign investment and providing solutions for financial obstacles. This course will help students - in light of the Saudi Arabian Bankruptcy Law 2018 to gain a comprehensive understanding of bankruptcy procedures, creditor rights, documentation, and the role of courts. It delves into in-depth study of liquidation, including the appointment of the liquidator, the process, creditor compensation, complexity, and court involvement.

This course aims to provide students with the necessary knowledge, skills, methods on research and writing up a legal dissertation and/or research paper. It covers referencing styles and provides guidance on legal writing to help students clarify and advance their ideas. The course emphasizes formulating and conducting research ideas and structuring a written research proposal as well as an oral presentation. It introduces students to different research styles, including qualitative, quantitative, comparative, and historical research. It also assists students in selecting a graduation dissertation topic by connecting their studies across various areas of law and enabling them to conduct research in their areas of interest.

This course is designed to develop students understanding of risks and benefits when practicing E-Commerce, analyzing problems arising and vulnerability of all stakeholders in certain practices of electronic trade. The course will provide students with an outlook of main legal issues arising from businesses conveyed in electronic means for providing services or selling goods. An emphasis on the Saudi E-Commerce law with its new requirements on behalf of the providers would be studied into detail, as; disclosure of obligations, protection of personal data, consumers' right to termination, dispute regulations and jurisdictions, and other important provisions of the law.

Students will gain knowledge of key terminology and concepts related to lease contracts, including their provisions and specifications. The course will also cover procedures for addressing breaches of contract and damages to leased assets. Additionally, students will learn about the registration process for lease contracts under SAMA (Saudi Arabian Monetary Authority) and circumstances that render a contract void.

This course explores the role of the Capital Market Authority (CMA) in issuing regulations, rules, and instructions for the financial market system. It focuses on studying the tasks and responsibilities of the CMA, such as the development of the capital market, establishment of controls for securities trading, and implementation of measures to mitigate risks associated with transactions and securities issuance. The course also examines how the CMA regulates Powers of Attorney, as well as the purchase and public offering of shares, aiming to safeguard citizens and investors from unfair practices.

The course also covers project structuring, including organizing chapters and understanding the role of the supervisor in maximizing project quality through feedback and meetings.

The burden of proof is a crucial element in personal, civil, and commercial relationships, serving as the primary means of substantiating rights and imposing obligations on others. In practical terms, a right holds little value if its owner cannot provide sufficient evidence to support it. This course aims to introduce students to the concept of evidence, focusing on the burden of proof and contemporary evidence within commercial transactions with a comprehensive exploration of electronic evidence and its significance and relevance. Key aspects of electronic evidence encompass electronic contracts, electronic records, and electronic signatures, with a particular emphasis on their compliance with the Saudi Evidence Law and regulations to ensure their reliability.
